On March 17, 2016, Regency Centers Corporation (the “Company”) issued a press release announcing that it plans to commence an underwritten public offering of shares of its common stock in connection with entry into a forward sale agreement with an affiliate of J.P. Morgan Securities LLC. A copy of the press release is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
