Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On February 29, 2016, pursuant to its authority granted in the Information Statement on Schedule 14C filed with the Securities and Exchange Commission on February 2, 2016, the Board of Directors of Labor Smart, Inc. (the “Company”) approved the filing of an amendment to the Company’s Articles of Incorporation to reduce the number of authorized shares of the Company’s common stock from 20,000,000,000 shares to 8,000,000,000 shares. That same day, the Company filed a Certificate of Amendment with the Nevada Secretary of State to effect this authorized share reduction. A copy of the Certificate of Amendment is attached hereto as Exhibit 3.1.
