Item 1.01. Entry into a Material Definitive Agreement.

Industrial Property Trust Inc. (the “Company”), Industrial Property Operating Partnership LP (the “Operating Partnership”), and Industrial Property Advisors LLC (the “Advisor”) previously entered into a Third Amended and Restated Advisory Agreement, dated as of August 14, 2015 (the “Advisory Agreement”), pursuant to which the Advisor performs certain duties and responsibilities as a fiduciary of the Company and its stockholders. The Advisory Agreement has a term of one year, subject to renewal for an unlimited number of one-year periods. The Company, the Operating Partnership, and the Advisor entered into an amendment to the Advisory Agreement, dated as of February 17, 2016 (the “Amendment”), in order to clarify the acquisition fee payable to the Advisor when we acquire an interest in a real property by investing in a real estate-related entity. The Amendment clarifies that with respect to each real property for which the Advisor does not provide development services or development oversight services, the acquisition fee payable to the Advisor when we acquire an interest in such a real property by investing in a real estate-related entity is the same acquisition fee that is payable to the Advisor when we acquire such a real property, which is an amount equal to 2.0% of the Company’s share of the purchase price.
