Item 7.01 Regulation FD Disclosure
On January 25, 2016, Illinois Tool Works Inc. (“ITW”) issued a press release announcing that it has entered into a definitive agreement to acquire the Engineered Fasteners and Components business from ZF TRW for approximately $450 million.
