Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 13, 2016, Ted Bogich was promoted to Executive Vice President, Operations of Boyd Gaming Corporation (the “Company”).
Prior to being appointed as Executive Vice President, Operations, Mr. Bogich, 60, who joined the Company in 2004, served most recently as Senior Vice President of Operations since 2012 and as Vice President and General Manager of Blue Chip Casino Hotel from 2007 to 2012.
In connection with his promotion, Mr. Bogich will receive an annual base salary of $465,000 and his target bonus amount under the Company's 2000 Executive Management Incentive Plan will be 60% of his annual base salary. Mr. Bogich will continue to be eligible to participate in the Company's employee benefit plans and other arrangements that are generally available to similarly situated executive officers. Mr. Bogich’s salary, bonus and other compensation arrangements may be reviewed and modified from time to time by the Company's Compensation and Stock Option Committee.
