Item 1.02 | Termination of a Material Definitive Agreement |
As previously disclosed by Inland Land Appreciation Fund II, L.P. (the Partnership) in its Current Report on Form 8-K filed with the Securities and Exchange Commission on November 12, 2015, on November 9, 2015, the Partnership, as seller, entered into a Vacant Land Purchase and Sale Contract (the Purchase Contract) with a third party purchaser to sell approximately 182 acres of land in Kane County, Illinois. The subject land is referred to in the Partnerships periodic reports as Parcel No. 8. The contract sales price of the subject land was to be $1,837,705 and was to be sold AS IS but subject to usual and customary closing conditions. Pursuant to the Purchase Contract, the purchaser exercised its right to terminate the Purchase Contract prior to the expiration of the due diligence period by delivering notice of termination to the Partnership on December 22, 2015. The purchasers earnest money deposit was returned to the purchaser following termination of the Purchase Contract. There were no termination penalties in connection with the termination of the Purchase Contract.
