Item 2.01 Completion of Acquisition or Disposition of Assets
On October 29, 2015, RLH DC LLC, a joint venture in which the registrant holds an 86% member interest, acquired the Quincy Hotel located at 1823 L Street, NW in Washington, DC, from L Street Hotel L.L.C. The purchase price was $22.5 million. The acquisition included the hotel property and improvements as well as the ground lease for the land on which the hotel is located. The term of the ground lease expires on December 31, 2080.
A copy of the registrant’s press release announcing the acquisition of the hotel is being furnished as Exhibit 99.1 to this report. Exhibit 99.1 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the Exchange Act) or otherwise subject to the liabilities under that section and shall not be deemed to be incorporated by reference into any filing of the registrant under the Securities Act of 1933 or the Exchange Act.
