Item 8.01. Other Events.
Greenbacker Renewable Energy Company LLC (the “Company”) announced today that its Board of Directors approved the September 30, 2015 net asset value per share for the Company’s Class A, C and I shares of common stock, which reflected an increase of $0.02 per share, per class, respectively, from the prior quarter end’s valuation. Because this increase was above the Company’s current net proceeds per share for its initial public offering, the Company has revised the per share offering price for each class of shares effective November 5, 2015, to the following - $10.024 per Class A share, $9.599 per Class C share and $9.208 per Class I share.
Due to the increase in the share offering prices, the Company’s Board of Directors authorized an increase in the cash distributions payable on December 1, 2015 and January 4, 2016 to shareholders of record of Class A, C and I shares as of November 30, 2015 and December 31, 2015, respectively, to $0.0016478 per share, per day to maintain the current annual distribution rates.
In addition, the Company’s Board of Directors authorized cash distributions of $0.0016478 per share, per day, on each outstanding Class A, C and I share of common stock commencing for the period January 1 through March 31, 2016. The distributions will be payable on February 1, 2016, March 1, 2016 and April 1, 2016 to shareholders of record as of January 29, 2016, February 29, 2016 and March 31, 2016, respectively.
