Item 8.01         Other Events

On October 30, 2015, Cameron International Corporation (the “Company”) issued a press release announcing that it has established a record date of November 16, 2015 for a special meeting of the stockholders of the Company to be held on December 17, 2015.  At the special meeting, the stockholders of the Company will be asked to consider and vote on, among other things, a proposal to adopt the previously announced merger agreement, dated as of August 25, 2015, among Schlumberger Holdings Corporation, an indirect wholly-owned subsidiary of Schlumberger Limited, Rain Merger Sub LLC, a direct wholly-owned subsidiary of Schlumberger Holdings Corporation, Schlumberger Limited (Schlumberger N.V.) (“Schlumberger”) and the Company, providing for the acquisition of the Company by Schlumberger.  A copy of the press release is attached as Exhibit 99.1.
