(b) On October 23, 2015, Robert C. Soldoveri, a member of the Board of Directors (“Board”) of Valley National Bancorp (the “Company”) notified the Company that he will not stand for re-election to the Board at the 2016 annual meeting of shareholders. The Board has acted to reduce the size of the Board as of the date of the 2016 annual meeting.
