Item 2.02 - Results of Operations and Financial Condition
On October 19, 2015, S&T Bancorp, Inc. announced by press release its earnings for the three and nine months ended September 30, 2015. A copy of the press release is attached hereto as Exhibit 99.1. The information contained in this Report on Form 8-K furnished pursuant to Item 2.02 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section, nor shall such information be deemed incorporated by reference in any filing under the Securities Exchange Act of 1933, as amended, except as shall be expressly set forth by specific reference in such filing.
Item 8.01 - Other Events
The Board of Directors of S&T Bancorp, Inc. declared a $0.19 per share cash dividend at its regular meeting held October 19, 2015. The dividend is payable November 19, 2015 to shareholders of record on November 5, 2015. This dividend compares to a common stock dividend of $0.18 per share for the second quarter of 2015.
