(b) On October 14, 2015, Clyde Landon Cobb Jr., the Chief Accounting Officer of Fidelity & Guaranty Life (the “Company”), notified the Company that he will resign from the Company effective October 30, 2015. Mr. Cobb’s decision to resign did not involve any disagreement with the Company, the Company’s management or the Board of Directors on any matter relating to the Company’s operations, policies or practices.
