Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On October 14, 2015, the Board of Directors (the “Board”) of Walgreens Boots Alliance, Inc. (the “Company”) amended and restated the Company’s By-Laws (the “Amended and Restated By-laws”) to implement a proxy access by-law. Section 2.20 of Article II of the Amended and Restated By-Laws permits a stockholder, or a group of up to 20 stockholders, owning 3% or more of the Company’s outstanding stock continuously for at least three years, to nominate and include in the Company’s proxy materials director nominees constituting up to 20% of the Board, provided that such stockholder(s) and nominee(s) satisfy the requirements set forth in the Amended and Restated By-Laws. The Amended and Restated By-Laws also make certain clarifications and updates to the director nomination and election provisions in Sections 2.15, 2.17 and 2.18 of Article II.
