Item 2.01 | Completion of Acquisition or Disposition of Assets |
On October 13, 2015, N.B.V. Nordic Bulk Ventures (Cyprus) Limited ("NBV"), a wholly-owned subsidiary of Pangaea Logistics Solutions Ltd. (the “Company"), acquired 24.5% of Nordic Bulk Holdings ApS (“NBH”) in exchange for 400,000 shares of the Company. Prior to the transaction, NBV owned 75.5% of NBH. Nordic Bulk Carriers AS ("NBC") is a subsidiary of NBH. Following this transaction, the Company owns 100% of NBH and NBC.
NBV, NBH and NBC are entities that are consolidated pursuant to ASC 810-10.
