(b) On October 15, 2015, J. E. Evans retired and resigned as a member of the boards of directors of Auburn National Bancorporation, Inc. (the “Company”) and AuburnBank (the “Bank”), and any of their subsidiaries. There were no disagreements between Mr. Evans and the Company, the Bank, or any of their subsidiaries. A copy of Mr. Evans’s letter of resignation is attached as Exhibit 99.1.
