On October 9, 2015, UTi Worldwide Inc. (the “Company”) issued a press release announcing the entry into a Merger Agreement among the Company, DSV A/S (“DSV”) and Louvre Acquisitionco, Inc., an indirect wholly-owned subsidiary of DSV.  A copy of the press release is furnished as Exhibit 99.1.
