Item 8.01    Other Events

On September 3, 2015, Vanguard Natural Resources, LLC (“Vanguard”) announced that its Board of Directors has reset the 2015 Annual Meeting of Unitholders (the “Annual Meeting”) date, which was originally June 4, 2015, to a revised date of October 5, 2015.
The Annual Meeting had previously been rescheduled to September 17, 2015 so that Vanguard’s unitholders could also vote on a proposal to approve the issuance of Vanguard common units to unitholders of Eagle Rock Energy Partners, L.P. (“Eagle Rock”) pursuant to an Agreement and Plan of Merger, dated May 21, 2015, pursuant to which a subsidiary of Vanguard will merge with and into Eagle Rock, with Eagle Rock surviving the merger as a wholly-owned indirect subsidiary of Vanguard. The Board of Directors now believes the postponement of the Annual Meeting to October 5, 2015 is necessary to ensure that Vanguard has adequate time to mail proxy materials to its unitholders in compliance with Schedule 14A, which requires that proxy materials be sent to security holders at least 20 business days prior to the annual meeting date.

Information about the Proposed Merger and Where to Find It
