Item 1.01 Entry into a Material Definitive Agreement.

On August 21, 2015, GigOptix, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Avi Katz, Andrea Betti-Berutto and John Mikulsky (collectively, the “Selling Stockholders”) and Cowen and Company, LLC and Roth Capital Partners, LLC (collectively, the “Representatives”) as representative of the several underwriters set forth on Schedule I to the Underwriting Agreement (together with the Representatives, the “Underwriters”) relating to (i) a public primary offering (the “Primary Offering”) of an aggregate of 9,218,000 shares (the “Company Shares”) of the Company’s common stock, par value $0.001 per share (the “Common Stock”) at a public offering price of $1.70 per share (the “Offering Price”) and (ii) a public secondary offering by the Selling Stockholders (the “Secondary Offering”) of an aggregate of 282,000 shares (the “Secondary Shares” collectively with the Company Shares, the “Shares”) of Common Stock at the Offering Price. The Shares are accompanied by the associated rights (the “Rights”; the Rights together with the Shares, the “Securities”) to purchase shares of Series A Junior Preferred Stock, par value $0.001 per share, of the Company created by the Rights Agreement, dated December 16, 2011, between the Company and the American Stock Transfer & Trust Company, LLC, as Rights Agent, as amended by the Amended and Restated Rights Agreement, dated December 16, 2014 (collectively, the “Rights Agreement”). Under the terms of the Underwriting Agreement, the Company granted the Underwriters a 30 day option to purchase up to an additional 1,425,000 shares of Common Stock to cover overallotments, if any (the “Overallotment Option”). The net proceeds to the Company from the sale of the Company Shares are expected to be approximately $14.73 million, after deducting underwriting discounts, assuming no exercise by the Underwriter of the Overallotment Option, and the net proceeds to the Selling Stockholders from the sale of the Secondary Shares are expected to be approximately $479,000. The Offering is expected to close on or about August 25, 2015, subject to the satisfaction of customary closing conditions.

The Primary Offering was made pursuant to the Company’s effective registration statement on Form S-3 (Registration Statement No. 333-202832) (the “S-3 Registration Statement”) previously filed with and declared effective by the Securities and Exchange Commission (the “SEC”) on March 30, 2015 and a preliminary and final prospectus supplement thereunder filed with the SEC (the “Prospectus Supplement”) on August 20, 2015 and August 21, 2015, respectively.

The Secondary Offering was made pursuant to the Company’s effective registration statement on Form S-8 (Registration Statement No. 333-194658) (collectively with the S-3 Registration Statement, the “Registration Statements”) previously filed with SEC on March 18, 2014, as amended by that Post-Effective Amendment No. 1 filed with the SEC on August 20, 2015 and a preliminary and final prospectus supplement thereunder filed with the SEC on August 20, 2015 and August 21, 2015, respectively.

The Underwriting Agreement contains customary representations, warranties and agreements by the Company and by the Selling Stockholders, customary conditions to closing, indemnification obligations of the Company, the Selling Stockholders and the Underwriters, including for liabilities under the Securities Act of 1933, as amended, other obligations of the parties and termination provisions. The representations, warranties and covenants contained in the Underwriting Agreement were made only for purposes of such agreement and as of specific dates, were solely for the benefit of the parties to such agreement, and may be subject to limitations agreed upon by the contracting parties.

Pursuant to the Underwriting Agreement, directors and executive officers of the Company entered into agreements in substantially the form included as an exhibit to the Underwriting Agreement providing for a 60-day “lock-up” period following the date of the final prospectus supplement with respect to sales of specified securities, subject to certain exceptions including the Secondary Offering.

A copy of the Underwriting Agreement is attached as Exhibit 1.1 to this report and is incorporated by reference herein. The foregoing description of the terms of the Underwriting Agreement is only a summary of the material terms of the Underwriting Agreement, does not purport to be complete and is qualified in its entirety by reference to such exhibit.
