Item 8.01 Other Events.
On August 10, 2015, UDR, Inc., a Maryland corporation (the “Company”), issued a press release announcing that 75% of the outside limited partners of Home Properties, L.P. (“Home OP”) have elected to receive common units of limited partnership interest in a newly formed operating partnership of the Company in exchange for their units of limited partnership interest in Home OP, pursuant to the terms of the Contribution Agreement, dated as of June 22, 2015 (the “Contribution Agreement”), by and among the Company, United Dominion Realty, L.P., Home OP, and LSREF4 Lighthouse Acquisitions, LLC. A description of the material terms of the Contribution Agreement was included in the Company’s Current Report on Form 8-K filed on June 22, 2015.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
