Item 8.01  Other Events

On August 7, 2015, Central Pacific Financial Corp. (“CPF”), ACMO-CPF, L.L.C. (“Anchorage”), Carlyle Financial Services Harbor, L.P. (together with Anchorage, the “Selling Shareholders”), and Citigroup Global Markets Inc. (“Citigroup”) and UBS Securities LLC (and together with Citigroup, the “Underwriters”) consummated the transactions contemplated by that certain Underwriting Agreement, dated August 3, 2015, pursuant to which the Selling Shareholders sold an aggregate of 5,538,624 shares of CPF common stock, no par value per share, to the Underwriters.
