Item 2.02. Results of Operations and Financial Condition
On August 6, 2015, TearLab Corporation issued a press release announcing financial results for its second quarter ended June 30, 2015 (the “Press Release”). A copy of the Press Release is attached hereto as Exhibit 99.1.
The information in this Item 2.02 and Exhibit 99.1 shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) and shall not be deemed to be incorporated by reference into any filing under the Securities Act of 1933, or the Exchange Act, except to the extent that we specifically incorporate it by reference.
Item 8.01 Other Events.
The Press Release also announced that TearLab Corporation entered into an amendment to its Term Loan Agreement, dated as of March 4, 2015, by and among TearLab Corporation, certain of its subsidiaries from time to time party thereto as guarantors and CRG LP (formerly known as Capital Royalty) and certain of its affiliate funds as lenders.
