Item 8.01 Other Events.

 

The waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), applicable to the proposed merger (the “Merger”) of Tree Merger Sub, Inc., a wholly-owned subsidiary of CVS Pharmacy, Inc., with and into Omnicare, Inc. (“Omnicare”) expired at 11:59 PM on Wednesday, August 5, 2015.

 

The expiration of the HSR Act waiting period satisfies a condition to the completion of the Merger. The closing of the Merger remains subject to the satisfaction or waiver of the remaining conditions to the Merger set forth in the related merger agreement, including adoption of the merger agreement by Omnicare’s stockholders.  A special meeting of Omnicare’s stockholders has been scheduled for August 18, 2015 to consider and vote on the Merger.
