Item 1.01 Entry into a Material Definitive Agreement.

 

On June 24, 2014, Moody National REIT I, Inc. (the “Company”) acquired fee simple title to a 127 room hotel property located in located in Newark, California commonly known as the TownePlace Suites by Marriott Newark/Silicon Valley (the “Silicon Valley Hotel”) for an aggregate purchase price of $10 million, excluding closing costs.

 

On July 20, 2015, the Company entered into an agreement with respect to the sale of the Silicon Valley Hotel to a third-party purchaser for an aggregate sales price of $24.5 million.

 

The closing of the sale of the Silicon Valley Hotel is subject to substantial closing conditions. There is no guarantee that the Company will complete the sale of the Silicon Valley Hotel on the terms described above, or at all.
