Item 8.01.   Other Events.

On June 29, 2015, Steel Excel Inc., a Delaware corporation (the “Company”), received approval for listing on the Nasdaq Capital Market. The Company’s common stock is expected to commence trading under the ticker symbol SXCL on or about July 7, 2015. Effective upon approval from Nasdaq, Robert J. Valentine joined the Company’s Audit Committee as the committee’s third independent director.
