  ITEM 5.07. Submission of Matters to a Vote of Security Holders.

On June 10, 2015, A10 Networks, Inc. (the “Company”) held its 2015 Annual Meeting of Stockholders (the “Annual Meeting”). The stockholders voted on the following proposals at the Annual Meeting:

 

  1. To elect one Class I director to serve until the Company’s 2018 annual meeting of stockholders and until his or her successor is duly elected and qualified;

 

  2. To approve a stock option exchange program for the Company’s employees (excluding the Company’s executive officers and directors);

 

  3. To approve the Company’s Amended and Restated 2014 Equity Incentive Plan; and

 

  4. To ratify the appointment of Deloitte & Touche LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2015.
