ITEM 5.02 Resignation of Board of Directors Committee Appointment
Donald Farley resigned as a member of the Compensation Committee of the Board of Directors of Axion Power International, Inc. on June 1, 2015. Mr. Farley's resignation enables the Company to have a Compensation Committee composed solely of independent directors and affords him the ability to focus on his increased executive duties for the Company. The Compensation Committee now consists of Richard Bogan and D. Walker Wainwright, who are both independent directors.
