(d) Pursuant to the terms of the Second Amended and Restated Limited Liability Company Agreement of Transocean Partners LLC (the “Company”), Transocean Partners Holdings Limited appointed Mark Mey as an Appointed Director of the Company, effective June 3, 2015, to fill the vacancy created by the resignation of Esa T. Ikaheimonen.
