Item 5.07. Submission of Matters to a Vote of Security Holders.

 

At the 2015 Annual Meeting of Stockholders of Everyday Health, Inc. (the “Company”) held on June 2, 2015, the Company’s stockholders approved two proposals, as follows: (i) the election of David Golden and Sharon Wienbar as Class I members of the Company’s Board of Directors, to serve until the Company’s 2018 Annual Meeting of Stockholders and until their successors are duly elected and qualified; and (ii) the ratification of the selection by the Audit Committee of the Company’s Board of Directors of Ernst & Young LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2015.
