Item 8.01 Other Events.
On May 29, 2015, Geeknet, Inc. (the “Company”), issued a press release announcing that the Company's Board of Director's determined that the binding offer from a strategic acquiror to acquire the Company for $20.00 per share in cash constitutes a "superior proposal." A copy of the Company’s press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
