SECTION 1 - REGISTRANT'S BUSINESS AND OPERATIONS
Item 1.01 Entry into a Material Definitive Agreement
On April 17, 2015, the Company issued a Promissory Note for $238,975.62 received
from Sanjay Sabnani, the Company's CEO. The proceeds were used to pay off a
short-term convertible note issued to KBM on October 20, 2014, as well as to
provide the Company with $25,000 in working capital. Under the terms of the
Note, the Company agrees to repay the $238,975.62 including interest at 12%. The
Note, including interest, is due October 20, 2015.

Item 8.01 Other Events
The KBM Worldwide, Inc. Note dated October 20, 2014 was paid off in full using
the funds from Mr. Sabnani. The funds from Mr. Sabnani also provide the Company
with $25,000 in working capital.
