ITEM 8.01 Other Events.

Med-Cannabis Pharma, Inc. (the “Company”), through its wholly owned subsidiary, Medication Station II, Inc. (“Medication Station”), an Oregon corporation, has entered into an agreement to lease retail space in Newport, Oregon. Medication Station has received approval to open, operate and manage a medical marijuana dispensary at the premises and anticipates the dispensary to open in June, 2015, or as soon as an on-site inspection is conducted and approved by regulatory authorities in Oregon.
