(b) On April 17, 2015, Glen M. Kassan notified Handy & Harman Ltd. (the “Company”) of his decision not to stand for re-election to the Board of Directors at the 2015 Annual Meeting of Shareholders. Mr. Kassan has served as a director of the Company since July 2005 and as the Company's Vice Chairman of the Board since October 2005.
