On March 31, 2015 Millennium HealthCare Inc., a Delaware corporation (the “Company”) filed a Certificate of Amendment to Designations of Series A Preferred Stock (“Series A Preferred Stock”) with the Secretary of State of the State of Delaware (“Amendment”). Upon the Amendment, the holders of Series A Preferred Stock being entitled to fifty-one percent (51%) of the total votes on all such matters regardless of the actual number of shares of Series A Preferred Stock then outstanding. A copy of the Amendment is filed as Exhibit 3.1 to this Form 8-K and is incorporated herein by reference in its entirety.
