Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Resignation of Trustee

On February 2, 2015, Thomas M. Bowers resigned from the Board of Trustees (the “Board”) of Starwood Waypoint Residential Trust, a Maryland real estate investment trust (the “Company”), effective as of that date. Mr. Bowers’ resignation was precipitated by the fact he has joined Starwood Capital Group as a Managing Director and Head of Corporate Strategy and Development and, thus, no longer qualifies as an independent trustee of the Company. Mr. Bowers was the lead independent trustee and a member of the Audit Committee of the Board and the Nominating and Corporate Governance Committee of the Board. Mr. Bowers’ resignation did not involve a disagreement with the Company or any matter relating to the Company’s operations, policies or practices.
