(d) On January 28, 2015, the Board of Directors (the “Board”) of Williams-Sonoma, Inc. (the “Company”) elected Sabrina Simmons to serve as a director of the Company, effective January 28, 2015. On January 28, 2015, the Company issued a press release announcing the election of Ms. Simmons to the Board. A copy of the press release is attached hereto as Exhibit 99.1.
