On January 26, 2015, Donald J. Balzer, Jr. notified Village Bank and Trust Financial Corp. (the “Company”) of his resignation as a director of the Company and Village Bank effective immediately. There is no disagreement between the Company and Mr. Balzer on any matter related to the Company’s operations, policies or practices.
