Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On January 16, 2015, Deborah G. Arnold delivered to the Company her written resignation from the Board of Directors of the Company, effective January 23, 2015. Ms. Arnold’s resignation was not because of a disagreement with the Company or any of its operations, policies, or practices. Ms. Arnold had been a member of the Board of Directors since February 2012 and, at the time of her resignation, was the Chair of the Nominating and Corporate Governance Committee of the Board of Directors.
