ITEM 2.02                                  RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On January 14, 2015, Pacific Premier Bancorp, Inc. (“Pacific Premier” ), the holding company of Pacific Premier Bank, announced today that it will issue its fourth quarter 2014 financial results before the market opens on Wednesday, January 21, 2015.  Pacific Premier will also host a conference call at 9:00 a.m. PT / 12:00 p.m. ET on January 21, 2015to discuss its financial results.

The press release is attached as Exhibit 99.1 to this report.
