Item 8.01              Other Events.

On November 24, 2014, E. Drew Soinski, Senior Vice President, Managing Director, Americas, notified Planet Payment, Inc. (the “Company”) of his decision to resign from the Company in order to pursue professional opportunities. Mr. Soinski’s resignation is effective November 30, 2014.
