Item 8.01 Other Events.
On November 21, 2014, Banc of California, Inc. announced that its Board of Directors has declared a quarterly dividend payment on its Series C Preferred Stock (NYSE: BANC PR C), representing an annualized yield of 8% on the liquidation preference amount for outstanding shares. The dividend will be payable on December 15, 2014 to record holders as of December 1, 2014 of depositary shares relating to the underlying Series C Preferred Stock.
