Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 11, 2014, Bill Barrett Corporation (the “Company”) announced the separation of Stephen W. Rawlings, Senior Vice President—Operations of the Company, from his position with the Company, effective December 31, 2014. In connection with Mr. Rawlings’ separation, the Company anticipates that it will enter into a separation agreement with Mr. Rawlings. The terms of such separation agreement, once finalized, will be described in a subsequent Current Report on Form 8-K. The Compensation Committee of the Board of Directors is receiving advice from Meridian Compensation Partners, LLC, an independent compensation consultant, in reaching its determination.
