Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 10, 2014, Richard H. Litton notified SWS Group, Inc. (“SWS”) that he intends to retire and resign as Executive Vice President of SWS, effective three months after the closing of the merger contemplated by the Agreement and Plan of Merger, dated as of March 31, 2014 (the “Merger Agreement”), by and among Hilltop Holdings Inc. (“Hilltop”), Peruna LLC, a wholly owned subsidiary of Hilltop (“Peruna”), and SWS, pursuant to which SWS will be merged with and into Peruna, with Peruna as the surviving entity following the merger (the “Merger”).

In connection with Mr. Litton’s resignation as Executive Vice President, the Compensation Committee of the Board of Directors (the “Compensation Committee”) of SWS approved the payment of Mr. Litton’s unvested deferred cash incentive compensation three months after the closing of the Merger (the “Retirement Date”) and the accelerated vesting of 52,947 shares of restricted stock that were awarded to Mr. Litton in August 2014, effective as of the Retirement Date. Pursuant to the terms of the Merger Agreement, the 52,947 shares of restricted stock owned by Mr. Litton will be converted into restricted shares of Hilltop common stock, with the number of Hilltop shares determined based on the value of the merger consideration under the Merger Agreement.

On November 14, 2014, following the approval of the Compensation Committee, SWS and Mr. Litton entered into a Transition Agreement and Release, dated as of November 14, 2014 (the “Transition Agreement”), pursuant to which the parties agreed to, subject to certain exceptions, the following:

 

    Mr. Litton has elected to resign from all of his positions with SWS and its affiliates and subsidiaries, effective as of the Retirement Date;

 

    Mr. Litton will, until the Retirement Date, continue to serve as Executive Vice President and assist with the transition of his duties and responsibilities as requested by SWS;

 

    SWS will continue to pay Mr. Litton through the Retirement Date and any unreimbursed expenses incurred prior to the Retirement Date;

 

    subject to the execution of a release of claims within 30 days following the Retirement Date, SWS agreed to pay Mr. Litton an amount equal to his unvested deferred cash incentive compensation of $253,891 in a lump sum within 10 days of the delivery of the release; and

 

    subject to the execution of a release of claims within 30 days following the Retirement Date, SWS agreed to accelerate the vesting of 52,497 shares of restricted stock that were awarded to Mr. Litton in August 2014, so that the shares are vested as of the Retirement Date.

The Transition Agreement includes a general release and waiver, and customary non-disparagement, confidentiality and non-solicitation covenants. The foregoing description of the Transition Agreement does not purport to be complete and is qualified in its entirety by reference to the Transition Agreement, which is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated by reference herein.
