EXPLANATORY NOTE
Net Element, Inc. is filing this Amendment No. 1 on Form 8-K/A (this “Amendment”) to its Current Report on Form 8-K filed with the Securities and Exchange Commission on November 13, 2014 (the “Original Filing”) in order to replace a copy of the press release furnished as Exhibit 99.1 to the Original Filing with a copy of the press release furnished as Exhibit 99.1 to this Amendment. Such replacement is needed due to technical issue causing the year titles to be transposed in the quarter to dates columns in the Unaudited Condensed Consolidated Statements of Operations and Comprehensive Income (Loss) table on page 7 of the press release.
Item 2.02 Results of Operations and Financial Condition.
On November 13, 2014, Net Element, Inc. issued a press release announcing its financial results for its third quarter ended September 30, 2014. A copy of the press release is furnished as Exhibit 99.1 to this report.
