| Item 2.02 | Results of Operations and Financial Condition. |
On November 7, 2014, Multi-Color Corporation (the “Company”) issued a press release announcing its financial results for the second quarter ended September 30, 2014. The Company will hold a conference call on November 7, 2014 at 10:00 a.m. Eastern Time to discuss the financial results. A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.

Multi-Color Corporation (NASDAQ:LABL) announced on November 3, 2014 that its Board of Directors declared the Company’s quarterly cash dividend for the third quarter of fiscal year 2015. The dividend is a payment of five cents per common share, payable December 1, 2014, to shareholders of record at the close of business on November 17, 2014. A copy of the press release is attached as Exhibit 99.2 to this Form 8-K.
