Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 3, 2014, the Federal Home Loan Bank of Chicago (the “Bank”) received notification from Thomas M. Goldstein that he is resigning from the Bank’s Board of Directors (the “Board”), effective November 30, 2014. Mr. Goldstein informed the Bank that he has resigned due to his recent election to Freddie Mac’s Board of Directors and not because of any disagreement with the Bank.  Mr. Goldstein has served on the Board as an independent director since January 1, 2009, and his current term is scheduled to expire on December 31, 2016. The Board will appoint another independent director to fill Mr. Goldstein’s unexpired term in accordance with the rules governing the election of Bank directors.  For more information on the required qualifications for independent directors, see “Nomination of Independent Directors” in the Bank’s 2013 Annual Report on Form 10-K.
