Item 1.01. Entry into a Material Definitive Agreement.

 

Amendment to Credit Agreement

 

On October 16, 2014, Washington Prime Group, L.P. (the “Partnership”), entered into an amendment (the “Amendment”) to its Revolving Credit and Term Loan Agreement, dated as of May 15, 2014 (the “Existing Credit Agreement”, and as amended by the Amendment, the “Amended Credit Agreement”) with Bank of America, N.A., as administrative agent and the lenders party thereto.  Entry into the Existing Credit Agreement was previously disclosed on a Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission on May 27, 2014.

 

The Amendment amends the Existing Credit Agreements to permit or facilitate certain transactions, including the issuance and/or borrowings of certain third-party debt financing that may be used by Washington Prime Group Inc. (“WPG”), the Partnership or their subsidiaries to finance the pending acquisition of Glimcher Realty Trust. The Amendment does not affect the amount of the facilities.

 

The foregoing description of the Amendment does not purport to be complete and is qualified in its entirety by reference to the Amendment, which is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
