Item 8.01 Other Events

On October 13, 2014, Planet Payment, Inc. (the “Company”) issued a press release announcing that its Board of Directors authorized the repurchase of up to $6,000,000 million of the Company’s outstanding shares of common stock.  The shares may be purchased from time to time for a period ending December 31, 2015.  The timing, price and quantity of purchases will be at the discretion of the Company and the program may be discontinued or suspended at any time.

The press release is attached as Exhibit 99.1 to this report.
