Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective September 28, 2014, the Registrant accepted the resignation of Eli Gonen as Chairman and sole director. There was no dispute between the Registrant on any matter relating to the Registrant's operations, policies or practices. Mr. Gonen furnished the Registrant with his Letter of Resignation, a copy of which is attached as an exhibit to this Form 8-K.

Effective September 28, 2014, the Registrant appointed Mr. Mordechai Bignitz, age 62, who has served as the Registrant's Chief Executive Officer and President since July 15, 2014, as the Registrant's Chairman and sole director. Reference is made to the Registrant's Form 8-K filed with the Securities and Exchange Commission on July 21, 2014 regarding the appointment of Mr. Bignitz as CEO and President.
