(b) On August 5, 2014, Jon D. Shaver notified the Board of Directors of Performant Financial Corporation (the “Company”) of his decision to retire from his positions as an executive officer and member of the Company’s board of directors effective August 12, 2014. Dr. Shaver has served as executive Chairman of the Board of Directors and a director since June 2007. Lisa C. Im, Chief Executive Officer of the Company, has been elected Board Chair effective as of Dr. Shaver’s retirement date.
