Item 8.01 Other Events.
On August 6, 2014, the Board of Directors (the “Board”) of Kraton Performance Polymers, Inc. (“Kraton”) withdrew its recommendation to Kraton stockholders in favor of approval and adoption of the previously announced Combination Agreement, dated as of January 28, 2014, with LCY Chemical Corp. (“LCY”) and certain of its subsidiaries (the “Combination Agreement”). On the same day, Kraton delivered a notice to LCY pursuant to the Combination Agreement regarding the Board’s withdrawal of its recommendation.
On August 7, 2014, Kraton issued a press release regarding such withdrawal of the Board’s recommendation. A copy of the press release is furnished as Exhibit 99.1 hereto.
